Constitution of the EMCC

§1
The Club shall be called ESTEC Mountaineering and Climbing Club EMC2.

§2
The objectives of the Club are to further the knowledge and skills of the sport, mountaineering, climbing and skiing, and to provide for its members facilities for training and practising in a social environment.

§3
The Club takes no responsibility for its members or third part liability in case of accidents, which might take place during or in connection with Club organized events.

§4
Within the boundaries laid down in this constitution the General Meeting of the membership has the highest authority in Club matters.

The General Meeting is to be held within the first 3 months of a calendar year.

The committee shall notify the members of the date, venue and agenda for the General Meeting at least 4 weeks in advance of the meeting. Members who wish to have proposals included in the Agenda must then submit these to the Committee at least 2 weeks in advance of the meeting.

At the General Meeting the following points shall appear on the Agenda:

  1. The Chairman’s report
  2. The Treasurer’s report forwarded for acceptance vote
  3. Proposals from Committee and Members forwarded for voting
  4. Election of Committee (Chairman, Treasurer and Secretary)
  5. Miscellaneous

Decisions can be taken by simple majority in voting, but decisions on constitutional modifications are only valid if at least 2/3 of the Club Members are present at the meeting and at least 2/3 are voting in favour. If 2/3 of the present members vote in favour, but without achieving the qualifying majority, the Committee will call for an extraordinary General Meeting, to be held within 1 month, in which 2/3 of the present Members can decide on the Constitutional changes. Notice is to be given as for the ordinary General Meeting.

§5
The Club is represented by the signature of the Chairman and the Treasurer. In case of necessity the committee can provide authorization for other members to sign on the club’s behalf.

§6
The club can only be terminated, apart from not fulfilling the SSCC constitution, by decisions of 2 consecutive General Meeting. For the termination 2/3 of the members must be present and 3/4 must vote in favour at the General Meeting and 3/4 must also vote in favour at the second General Meeting.

§7
On termination of the club and after fulfilling it’s obligations all remaining club properties must be turned over to the SSCC .

§8
Members who have failed to renew their subscription within 3 months of the beginning of the year, will automatically be deleted from the membership list. Disciplinary action may be taken against any member for failure to comply with the constitution of the club or for abuse of the club’s properties. The disciplinary action shall be determined by an action committee consisting of the club committee plus 2 other members selected by the committee.

§9
When borrowing any of the clubs climbing gear, the member is to sign a form stating that he/she takes full responsibility including third part liability in case of failure of the equipment and that the club is to waive any legal action taken against it. Upon returning the gear the member is to counter sign that no
damage or abuse of it has taken place. Concerning ropes the number of leader falls, if any, are to be reported. No safety equipment (such as ropes, harnesses, slings, camming devices etc.) are to be lent to beginners unless they are together with an experienced member, in which case both must sign the equipment in and out.
